Vocabyx Terms and Conditions

These Terms and Conditions govern your access to and use of the Vocabyx mobile application and related services. By using Vocabyx, you agree to these terms.

1. Acceptance of Terms

These Terms and Conditions form a binding agreement between you and the developer of Vocabyx, a private entrepreneur (FOP) in Ukraine. By downloading, accessing, or using the Vocabyx mobile application, you agree to be bound by these Terms.

If you do not agree, please do not use the App.

You must be at least 13 years old, or the minimum age of digital consent in your country, to create an account and use the App. By using the App, you represent that you meet this requirement.

2. Description of Service

Vocabyx is a digital learning application that allows users to access, create, and use learning content and related services.

We may add, modify, remove, limit, or make features subject to eligibility, usage limits, or payment at any time, subject to applicable law.

3. Accounts

  • You may need to provide accurate account information and maintain account credentials to access the App or certain features.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to provide accurate information when creating your account and to keep it up to date.
  • You must notify us promptly if you become aware of any unauthorized use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent, abusive, or harmful to the App or other users.

4. User-Generated Content

4.1 Your Content

Vocabyx allows you to create and submit User Content. You retain ownership of the User Content you create.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and distribute that content as needed to operate, provide, improve, and secure the App.

User Content is created by users. Each user is responsible for the content they submit and for having the necessary rights or permissions to make it available through the App. Vocabyx does not pre-screen every item of User Content and does not guarantee its accuracy, legality, or rights status, except where liability cannot be excluded under applicable law.

4.2 Responsibility for Claims

To the extent permitted by applicable law, you agree to indemnify Vocabyx against third-party claims, losses, and reasonable costs arising from User Content you submit or from your breach of these Terms. This does not limit rights that cannot be limited under applicable consumer law.

4.3 Content Standards

You agree not to submit User Content that:

  • Is unlawful, defamatory, obscene, hateful, or discriminatory.
  • Contains personal or confidential information about another person without their permission.
  • Contains malware, spam, or other harmful or disruptive material.
  • Impersonates any person or entity, or misrepresents your affiliation with any person or entity.
  • Is otherwise inappropriate for a general audience that may include minors.

We reserve the right, but do not assume the obligation, to review, moderate, edit, or remove any User Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable, and to suspend or terminate the accounts of repeat violators.

4.4 Reporting and Review

If you believe content within the App violates these Terms or applicable law, contact us using the details in Section 14 and include enough information to identify the content and explain the concern.

We review reports within a reasonable time and may remove, restrict, or leave content available based on the information provided and applicable law. Where appropriate, we may notify the content author and give them an opportunity to respond or appeal a decision.

5. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of these Terms.
  • Attempt to gain unauthorized access to the App, other users' accounts, or our systems.
  • Reverse engineer, decompile, or disassemble the App, except to the extent permitted by applicable law.
  • Use automated means, including bots or scrapers, to access or extract data from the App without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the App.
  • Upload viruses or other malicious code.

6. Intellectual Property

The App itself, including its design, software, graphics, logos, and trademarks, excluding User Content, is owned by the Developer and is protected by applicable intellectual property laws.

Except for the rights expressly granted to you in these Terms, no other rights are granted to you in the App or any of its content.

7. Subscriptions and Purchases

Certain features may be offered for payment. Pricing, billing, renewal, cancellation, and refunds are governed by the applicable purchase terms and platform rules presented to you at the time of purchase.

8. Third-Party Services

The App may rely on third-party services, such as cloud hosting, authentication providers, or analytics tools, to operate.

We are not responsible for the availability, content, or practices of these third-party services beyond our reasonable control.

9. Disclaimers

The App is provided as is and as available, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or that the App will be uninterrupted, error-free, or secure.

We do not guarantee the accuracy, completeness, or reliability of any User Content, including vocabulary decks created by other users. You use such content at your own discretion.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Developer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising out of or related to your use of, or inability to use, the App, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for fraud or gross negligence.

11. Termination

You may stop using the App and delete your account at any time through the App's settings.

We may suspend or terminate your access to the App, with or without notice, if we believe you have violated these Terms or for any other reason at our reasonable discretion, including discontinuing the App entirely.

Upon termination, your right to use the App will immediately cease. Sections of these Terms that by their nature should survive termination will survive.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to its conflict of law principles, except where mandatory consumer protection laws of your country of residence provide otherwise.

Any dispute arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts, subject to any mandatory rights you may have under the law of your country of residence.

13. Changes to These Terms

We may update these Terms from time to time.

We will notify users of material changes through the App or by other reasonable means and update the last updated date above. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms.
